TERMS OF MEMBERSHIP
THIS MEMBERSHIP AGREEMENT is between the Palm Harbor Business Oasis (hereinafter "Oasis")
and its membership (hereinafter "Member" for singular member or "Members" for plural).
TERMS OF MEMBERSHIP
1. The Oasis is a division of M&JB Investment Company (hereinafter "M&JB") of Palm Harbor, Florida, USA.
2. Membership requires a paid subscription for a single person. Rates for membership
are determined by the Oasis and may change over time.
3. This Agreement constitutes the entire agreement between the parties
with respect to the subject matter hereof and supersedes any prior agreements
whether written or oral.
4. These Terms of Use may be modified from time to time by Oasis. In such an event,
Oasis will notify the Members accordingly by e-mail or mail.
5. None of the provisions of this Agreement shall be deemed to have been waived by any
act or acquiescence on the part of Oasis, its agents, or employees, but only by an instrument
in writing signed by an authorized officer of Oasis. No waiver of any provision of this
Agreement shall constitute a waiver of any other provision(s) or of the same provision on
another occasion.
6. This Agreement shall be construed and enforced in accordance with the laws of the
State of Florida, United States of America.
7. Venue: Pinellas County, State of Florida, United States of America.
8. If either Oasis or Member employs attorneys to enforce any rights
arising out of or relation to this Agreement, the prevailing party shall be
entitled to recover its reasonable attorney's fees and costs, whether at trial or an appeal.
9. Severability: If any provision of this Agreement shall be held
by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the
remaining provisions shall remain in full force and effect.
10. This Agreement or any rights hereunder may not be assigned or sublet
by a Member without the prior written consent of Oasis.
11. Notices: All notices required herein shall be sent by first class
mail to:

12. Oasis may, by written notice to Member given within thirty (30) days after Oasis'
actual discovery of any act or omission by Member to perform any of its obligations
or duties herein (including without limitation, any failure to make any payment called
for herein) terminate this Agreement. In such event, Member will immediately forfeit
all rights to use the Oasis facilities as described herein. By exercising the right
of termination under this paragraph, the Oasis shall not in any way forego any remedies it
may have at law or in equity as a result of such failure by Member.
13. Indemnity: Purchaser agrees to save, hold harmless, indemnify, and
defend Oasis, its officers, agents, and employees, from and against
any and all claims, lawsuits, and demands, whatsoever, arising out of,
or in connection with Purchaser's performance of its obligations
hereunder.
14. All prices are in U.S. Dollars and are subject to change without written notice.
15. All trademarks, both marked and unmarked, belong to their respective companies.
16. MEMBERSHIP INCLUDES using the Oasis facilities and equipment under the following rules:
A. Member agrees to behave in a professional, yet relaxed, manner while on Oasis
premises. Further, Members will practice professional courtesy towards each other;
please dress accordingly ("business casual" is the norm).
Offensive behavior as judged by Oasis management will not be tolerated and subject to
Member dismissal from the Oasis.
No illicit or illegal activities are permitted on Oasis property, including but not limited
to gambling, pornography, prostitution, etc.
B. Oasis rooms and furnishings are available for use by Members on a first come,
first served basis. Use of meeting rooms are to be scheduled with Oasis management.
No single entity can monopolize a meeting room indefinitely. Oasis reserves the right
to control the schedule of meeting rooms.
C. The Oasis hours of operation are Monday through Friday, 8:30am to 5:00pm. The Oasis
will observe all major national holidays and may be closed as a result of special circumstances,
e.g., power outages, severe storms, emergencies, etc.
D. The Oasis facilities, furnishings and equipment are the property of M&JB. Member agrees to
compensate M&JB for any damages incurred or stolen by the Member.
E. Member is not to store personal property on Oasis premises. Oasis is not responsible
for theft of Member property.
F. The Oasis is not responsible for any loss of data or damage to Member electrical
equipment, such as computers, as a result of power surges or general use of such equipment while
on Oasis premises.
G. Smoking is restricted on Oasis premises. Designated smoking areas are allowed;
consult Oasis management for specific locations.
H. Member agrees to sign Oasis register upon arriving or departing from the Oasis.
I. Member agrees to pay valid Oasis bills promptly (no later than 30 days).
J. Participation in the Internet web site of the Oasis is on a voluntary basis
by the Members. This specifically includes, but is not limited to, the
Oasis Discussion Group, and Skills Inventory. Further, the Oasis is not
responsible for the work of others and the accuracy of the information provided
by Members participating on the Oasis web site.
K. The Oasis is not a print shop, shipping company, or phone service. As such:

M. The Oasis meeting facilities may be rented to non-Members by Oasis management
if it is not scheduled for use. Rates are to be quoted by Oasis management.
N. Supplemental business services (extras) are available from Oasis management.
